- [F1]On 1/27/02 J. C. Penney Company, Inc. changed its corporate structure to a holding company format. As a result of the corporate restructuring, old J. C. Penney Company, Inc. changed its name to "J. C. Penney Corporation, Inc." ("Old JCP") and has become a wholly-owned subsidiary of a newly formed holding company. The new holding company has assumed the name "J. C. Penney Company, Inc." and, pursuant to Rule 12g-3(a), is a successor to Old JCP with the Company's common stock and attached Series A Preferred Stock deemed to be registered under Section 12(b).
