- [F1]On March 28, 2005, the Board of Directors approved the grant of 1,500 restricted stock awards to Mr. Goodner pursuant to the Company's 2004 Restricted Stock Plan. Thirty-three and one/third percent (33-1/3%) of the awarded shares will vest on January 1 of 2006, 2007 and 2008, respectively. After this transaction, Mr. Goodner beneficially owns 39,000 shares which includes 37,500 shares which may be purchased upon the exercise of options and the 1,500 restricted stock awards.
