Dr. Nicholas, as co-trustee and co-beneficiary of such trust, is deemed to beneficially own the issuer's securities held by such trust.
- [F2]Each share of Class B common stock is convertible at any time into one share of Class A common stock at the option of the holder.
- [F3]Held by the Nicholas Family Trust, which is an owner of more than 10% of the issuer's securities. Dr. Nicholas, as co-trustee and co-beneficiary of such trust, is deemed to beneficially own the issuer's securities held by such trust.
- [F4]The Nicholas Family Trust contributed Broadcom Class A common stock to an exchange fund in exchange for shares of the exchange fund. The Broadcom Class A common stock was valued at $42.26 per share for the purpose of determining the number of shares of the exchange fund issuable to the Nicholas Family Trust.
- [F5]Such shares are held by Dr. Nicholas as custodian for his minor children. Dr. Nicholas disclaims beneficial ownership of these securities except to the extent of his pecuniary interest therein.
