- [F1]In July 2011, Asiamera Capital, a founder of the Company, transferred 250,000 shares on behalf of the Company to Xinlin Huang, in accordance with the Consulting Agreement dated June 1, 2011. However, effective Sept 30, 2011, Ms. Huang resigned, terminating the agreement and agreed to return 100,000 shares after completing only 4 months of the anticipated 3-year term of the agreement.
- [F2]Asiamera Capital, Inc., has received 100,000 returned common stock. Mr. Hauff owns 50% of Asiamera Capital, as such Mr. Hauff is deemed to indirectly beneficially own 50% of the shares (or 50,000) acquired through this return transfer.
