- [F2]On December 1, 2004, WGA granted to Mr. Martin an aggregate of 840 shares in lieu of an all cash for his participation in a recent board meeting, a recent committee meeting and in payment of his quarterly fee as a non-employee director. The quarterly fee component of the fee was not noted in the original filing. These shares were granted based on the fees payable and the closing prices for the shares on the dates of the meetings, an average of $5.35 per share.
- [F3]Mr. Martin's beneficial ownership totals 58,874 and is comprised of 48,190 shares owned directly and options to acquire 10,684 shares at 3.53 per share in which options he has been vested since 5/1/2000. His beneficial ownership was previously reported as 57,615 shares comprised of 48,160 shares (30 less than actual) and options to acquire 9,455 (1,229 less than actual). The last portion of options vesting under his 5/1/1998 grant and the stock dividends thereon were inadvertently omitted from previous reports as were 30 shares owned directly. The correction of beneficial ownership is the reason for this amendment.
