- [F1]These options, net of amounts previously forfeited, were originally granted on June 28, 2012 as performance-based awards and had not previously been reported on Form 4 since the performance conditions had not been met. In accordance with an agreement between the Company and Mr. Cox associated with his planned retirement that was entered into on July 30, 2014 (the "Agreement"), these options will now become fully vested on December 31, 2014 (provided that Mr. Cox satisfies his service obligations under the Agreement) and vesting is no longer subject to the outcome of the original performance conditions.
