- [F1]Couchman Capital LLC ("Couchman LLC") is the general partner of Couchman Partners, L.P. ("Couchman LP") and Jonathan Couchman is the sole member of the Management Board of Couchman LLC. Accordingly, each of Couchman LLC and Mr. Couchman may be deemed to beneficially own the 1,693,862 shares of Common Stock owned by Couchman LP. The reporting persons are members of the MaxWorldwide Full Value Committee (the "Committee"). In the aggregate, members of the Committee beneficially own 3,712,931 shares of Common Stock. The reporting persons are not 10% owners other than as a result of their being members of the Committee. Couchman LP disclaims beneficial ownership of any shares owned by the Committee, other than the 1,693,862 shares of Common Stock directly owned by it. Couchman LLC and Mr. Couchman disclaim beneficial ownership of any shares owned by the Committee and of the 1,693,862 shares owned by Couchman LP, except to the extent of their pecuniary interest therein.
