- [F3]On May 8, 2006 SIII entered into a Convertible Loan Facility Agreement with CMB Investments Ltd., a company owned by Ralph Shearing, whereby SIII would from time to time borrow operating funds from CMB with interest at a rate of 10% repayable on demand. CMB has the right to convert the loan into units of SIII, each unit consisting of one common share and one share purchase warrant exercisable at a conversion rate calculated at a discount to the average closing price for 10 days preceding a loan advance.
