Item 8.01. Other Events.

On December 10, 2013, NTS Realty Holdings Limited Partnership (the “Company”) issued a press release to announce that the board of directors of its managing general partner, NTS Realty Capital, Inc., approved a fourth quarter distribution of $0.05 per unit on the Company’s limited partnership units. The distribution will be paid on January 15, 2014 to limited partners of record at the close of business on December 31, 2013. A copy of the press release is attached to this Current Report on Form 8-K as Exhibit 99.1 and is incorporated in its entirety in this Item 8.01 disclosure by reference.
