On April 26, 2004, Syntroleum's stockholders approved the issuance of the warrants to Mr. Ghandour. On February 23, 2005, Syntroleum and Mr. Ghandour mutually agreed that the requirement had been met regarding the execution of an agreement with a company acceptable to Syntroleum and Mr. Ghandour thereby triggering the vesting of these warrants to purchase 500,000 shares of Syntroleum common stock.
