Achim Stamm is a managing director and the sole shareholder of Water and indirectly owns any of the Issuer's securities beneficially owned by Water. Pursuant to an agreement dated December 15, 2007, Water and Mr. Stamm (together, the "Reporting Persons") no longer have the right to vote or dispose of 72,000,000 of the shares registered in Water's name, or to derive any pecuniary interest therefrom. As a result, the Reporting Persons disclaim any beneficial ownership in the 72,000,000 shares.
