Of the earned amount of PSUs, 1/3 vested immediately upon certification by the Compensation Committee and the remaining 2/3 will vest in eight substantially equal installments on a quarterly basis, with the first quarterly installment to vest on May 15, 2025, subject to the Reporting Person's continued service with the Issuer through each applicable vesting date.
