The performance units will vest on November 15, 2025, subject to the Reporting Person's continued employment with the Issuer through the vesting date.

The performance units may vest, if at all, between 75% and 400% of the target grant date value based on the Issuer's common stock achieving certain stock price targets during a 3-year performance period (subject to a 29-trading day extension in certain circumstances). Stock price targets will be achieved based on the volume weighted average closing price of the Issuer's common stock during a consecutive 30-day trading period.
