- [F1]In connection with an estate planning transaction, the reporting person transferred 69,240 shares of common stock of issuer to the Helen Hovey Peck Trust, an irrevocable defective grantor trust established for the benefit of the reporting person and his immediate family members, in exchange for two interest-bearing, collateralized promissory notes in the aggregate amount of approximately $7,200,268, which is equal to the fair market value of the transferred shares on the date of the transfer. The reporting person is a trustee of the trust and continues to retain voting and dispositive power over the shares.
