Pursuant to a plan of conversion that was effective immediately prior to the closing of the initial public offering of the issuer's common stock, Gold Kist Co-op converted to a for profit corporation organized under the laws of Delaware by merging into the issuer.
- [F2]This Form 4 is being filed to report the number of shares of the issuer's common stock received by the reporting person in connection with the conversion based on (i) the amount of patronage equity in Gold Kist Co-op held by the reporting person at the closing of the conversion and (ii) the reporting person's pro rata share in the additional and supplemental distributions under the plan of conversion, which share is based the amount of business the reporting person did with Gold Kist Co-op for the five fiscal years ending June 26, 2004 and the period through the closing of the conversion.
