- [F1]On September 16, 2005, the Reporting Person entered into a transaction with M. H. T. of Brevard, Inc., a Florida corporation ("MHT"); whereby, the Reporting Person transferred his certificate for shares in the Issuer, which consisted of 23,750 shares of the Issuer's common stock, $0.001 par value per share, or, approximately 95% of the total issued and outstanding stock of the Issuer, to MHT. Although the actual transfer of the Issuer's shares from the Reporting Person to MHT took place on September 16, 2005, and was required to be reported within two days, the actual transaction is subject to the definitive approval of Leslie M. Apple, the individual from whom the Reporting Person originally financed the purchase of his shares.
- [F2]Although the subject transaction identified in the foregoing section (and in the preceding footnote) occurred on September 16, 2005, the definitive approval and the evidence of the conclusive consummation of that certain subject transaction is pending; specifically, the respective assumption and assignment agreements for the purchase and sale of the Issuer's securities, subject hereof, must be approved by Leslie M. Apple, the individual who holds the Issuer's shares described herein in pledged form. Consequently, the deemed execution date may vary, by interpretation, depending upon the date the Reporting Person, MHT, and the Issuer receive final notification of Mr. Apple's disposition of the subject transaction.
