- [F1]In April 2006, Mr. Bernsen agreed to convey 1,000,000 of his shares of Issuer Company Stock to the third party as consideration for the third party's return to the Company of 6,000,000 shares which were issued in connection with an asset purchase agreement entered into by the Company in December 2005 which was subsequently rescinded. Mr. Bernsen did not receive any consideration from the third party for the transfer of his shares. The share transfer was completed with the Company's transfer agent and the new share certificates were received for distribution after the close of business on June 8, 2006.
