Item 8.01. Other Events.

Healthtrac has received notice of discontinuance of contract for a large client due to a business reprioritization within the client organization. The loss of revenue and business impact has moved the company to immediately adopt a license-only business model consistent with historical license arrangements. This will allow the company to continue to provide its products in the marketplace through third-party organizations who pay annuity royalties for the use of the Healthtrac products.
