On August 19, 2005, Messrs. Steven Bandel, Gustavo Cisneros, Ricardo Cisneros, M. Brian Mulroney, Joseph Redling and Neil Smit resigned as members of the Board of Directors of America Online Latin America, Inc. ("AOLA"). AOLA does not expect to fill the vacancies created by these resignations.
