Item 7.01 Regulation FD Disclosure.

On June 22, 2007, ION Media Networks, Inc. (the "Company") issued a press release announcing that on June 20, 2007, a second complaint was filed against the Company and seven of the Company’s directors in the Court of Chancery of the State of Delaware in and for New Castle County by a group of plaintiffs purporting to hold shares of the Company's 9 3/4% Series A Convertible Preferred Stock. The text of the press release is attached hereto as Exhibit 99.1.
