On January 3, 2008, the Company issued a press release announcing that it had entered into an Agreement and Plan of Merger with QBE Holdings, Inc., a subsidiary of QBE Insurance Group Ltd.(QBE.AX). A copy of the press release is attached hereto as Exhibit 99.1.
