- [F1]In 2003, Mr. Hassell received 500,100 shares of Common Stock from the Issuer pursuant to an Investment Banking Agreement, which provided reverse stock split protection for these shares. In March 2004, these shares were reduced to 5,001 shares by a 1:100 reverse stock split. On August 16, 2004, pursuant to the reverse split protection clause in the Investment Banking Agreement and at no cost to Mr. Hassell, the Issuer issued 495,000 shares to Mr. Hassell to compensate for the reduction in shares caused by the reverse split.
