(a) On May 20, 2005, Richard Murray announced his resignation as a member ofthe Board of Directors.

(b) On May 24, 2005 the Company announced that the Board of Directors approved Steven Fragapane as a member of the Board of Directors, pursuant to Section 3.4 of the By-Laws, and as the Expert of the Audit Committee.
