Item 5.03 Amendment to Articles of Incorporation.

On June 14, 2007, the Company Amended its Articles of Incorporation as indicited in Exhibit 5.03. The new name of the company shall be Major League Poker.

Item 5.06 Change in Shell Company Status.

Prior to its name change and begining operations, the Company was a “shell company” as defined in Rule 405 of the Securities Act and Rule 12b-2 of the Exchange Act. As described below in 8.01, which is incorporated by reference into this Item 5.06, the Company ceased being a shell company upon operating as Major League Poker on June 14, 2007.
