Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

The Board of Directors has accepted the resignation of Dallas Pretty, which was effective on March 31, 2007, as Chief Financial Officer of the Company. Moving forward, the Corporation’s plan is to contract a finance professional for a transitional period while the company further pursues qualified CFO candidates.
