Upon vesting, the reporting person shall receive a number of shares of common stock equal to the number of restricted stock units then vesting. An amount equal to 25% of the total grant will vest on each of March 31, 2015, June 30, 2015, September 30, 2015 and the date immediately prior to the date of the 2015 annual meeting of the stockholders of the issuer, in each case subject to the reporting person's continued services to the issuer.
