- [F1]Each Restricted Stock Unit ("RSU") represents a contingent right to receive one share of the Issuer's common stock pursuant to the InvenTrust Properties Corp. 2015 Incentive Award Plan. The RSUs were originally scheduled to vest on the date of the Issuer's next annual meeting of stockholders, which historically has been in December. Given that the Issuer's next annual meeting of stockholders will be in June 2017 rather than December 2016, the Issuer's Compensation Committee and Board of Directors have approved the acceleration of the vesting of these RSUs to December 30, 2016, given the effective date of Mr. Wierzbicki's resignation, which was December 31, 2016. The RSUs will be settled 45% in shares of the Issuer's common stock and 55% in cash within 60 days of the new vesting date.
