Item 1.01 Entry into a Material Definitive Agreement

On June 29, 2008, we issued a Promissory Note to Next Level Ltd., in consideration of a draw down loan up to an aggregate of US$250,000 over a term of one year. Any unpaid amount of the drawn down balance borrowed shall be payable on demand by Next Level. Interest payable on the Principal Amount shall accrue at a fixed rate equal to the prime interest rate plus 2%. We are permitted to make partial payments against the principal amount and interest at any time without penalty.

The Promissory Note issued by UOMO Media Inc. to Next Level Ltd. is filed as Exhibit 10.1 to this report, incorporated herewith.
