Item 1.01 Entry into a Material Definitive Agreement

On November 30, 2009, we entered into an Independent Contractor Agreement with our Director of Management Services, Katrina Lopes. The agreement provides that Ms. Lopes is to perform services as our Director of Management Services pursuant to the directives of our Board of Directors. The services include developing strategies and creative direction, and managing all admin functions of UOMO’s Management Services division. Unless the agreement is terminated early, the services shall be performed from October 1, 2009 through March 31, 2010. The agreement will automatically renew for a period of six months under the same terms if terms are not renegotiated or agreement is not formally terminated. The agreement permits early termination by either party upon delivery of 60 days advance written notice. There are no early termination penalties.

The Independent Contractor Agreement between Katrina Lopes and UOMO Media Inc. is filed as Exhibit 10.1 to this report, incorporated herewith.
