- [F1]On June 29, 2011, Bzfinin, S.A. and the Issuer entered into a Line of Credit Agreement (the ?LOC Agreement?), whereby Bzinfin, S.A. established a line of credit for the Issuer in the aggregate principal amount of $15 million. Under the LOC Agreement, Bzinfin, S.A. is entitled at any time to convert all or any portion of the unpaid aggregate principal amount of the advances and unpaid accrued interest thereon into shares of Issuer common stock. The number of shares of Issuer common stock that are issuable upon a conversion will be determined by dividing the unpaid principal and accrued interest being converted by the greatest of (i) $1.12, (ii) the closing price of Issuer common stock on the trading day immediately prior to the conversion date, or (iii) the ?book value? (as defined in the LOC Agreement) of Issuer common stock on the trading day immediately prior to the conversion date. Reference is made to the Reporting Person?s Schedule 13D/Amendment No. 7 dated June 29, 2011, as filed with the Securities and Exchange Commission on the date hereof, for further information regarding the LOC Agreement (including the terms and conditions of conversion thereof).
- [F2]The warrants were issued under the LOC Agreement and are not exercisable unless and until a majority-in-interest of the Issuer?s shareholders have approved the issuance of the warrants and the shares of Issuer common stock issuable upon the exercise thereof. The warrants expire on the fourth anniversary of the first date on which they can be exercised.
- [F3]The Reporting Person may be deemed to beneficially own the securities reported herein by virtue of owning and controlling Bzinfin S.A.
