Item 8.01. Other Events.

On March 13, 2009, Cash Systems, Inc. (the “Company”) issued a press release announcing a Summary Notice of Proposed Settlement of Class Action in a matter pending in the District Court for Clark County, Nevada captioned Steven R. Staehr, on behalf of himself and all others similarly situated, vs. Cash Systems, Inc., Michael D. Rumbolz, Patricia W. Becker, Patrick R. Cruzen, Donald D. Snyder, Don R. Kornstein and Alpine Advisors, LLC (the “Litigation”). A copy of the press release is attached hereto as Exhibit 99.1.

A copy of a Notice of Pendency and Settlement of Class Action relating to the Litigation is attached hereto as Exhibit 99.2. A copy of a Stipulation of Settlement relating to the Litigation may be viewed on the Company’s website at www.cashsystemsinc.com.
