On January 26 2007, prior to the shares vesting, the vesting schedule was amended to the earliest of March 30, 2007, the date of a restructuring or change in control of eMerge or the participant's death or disability. Due to eMerge's subsequent filing for protection under Chapter 11 of the U.S. Bankruptcy Code on February 14, 2007 and the notification from Nasdaq that the common stock will be delisted effective February 27, 2007, these shares have been terminated.
