- [F1]Mr. James was granted Restricted Stock Units as a non-employee director pursuant to the amended Demand Media, Inc. Outside Director Compensation Program, whereby each non-employee director is entitled to receive an annual Restricted Stock Unit award after the conclusion of each annual meeting of stockholders. The Demand Media, Inc. annual stockholder meeting was held on June 11, 2013. Each Restricted Stock Unit represents the right to receive one (1) share of DMD Common Stock, par value $0.0001 per share, for each Restricted Stock Unit upon vesting. The Restricted Stock Units vest in twelve (12) substantially equal installments commencing on the three (3) month anniversary of the date of grant and on each three (3) month anniversary thereafter.
