The original warrant was fully vested when it was issued as a replacement for a warrant to purchase shares of US LEC Corp. common stock assumed by PAETEC Holding Corp. on February 28, 2007 in connection with PAETEC Corp.'s business combination with US LEC Corp., and therefore the replacement warrant also is fully vested.
