Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 10, 2015, Ernest K. Jacquet, a member of the Board of Directors and the Director of Finance (a management position) of USA Synthetic Fuel Corporation (the “Company”), resigned from his position as a director of the Company effective immediately. Mr. Jacquet retained his management position as Director of Finance for the Company.

Mr. Jacquet has not expressly identified any disagreement with the Company regarding its operations, policies or practices as the reason for his resignation.
