- [F1]In connection with his continued service on the Company's board of directors (the "Board") following the Company's annual stockholder meeting, and pursuant to the Company's Outside Director Compensation Program, Mr. Stern was granted 3,731 restricted stock units ("RSUs"). Each RSU represents the right to receive one share of the Company's common stock upon vesting. Subject to Mr. Stern's continued service on the Board through the applicable vesting date, these RSU's will vest in 12 substantially equal installments on each three month anniversary of the grant date.
