Item 1.01 Entry Into a Material Definitive Agreement

Maxray Optical Technology Co. Ltd. (“Maxray”) entered into a Letter of Intent to Purchase, dated April 7, 2011, with Elsa Technology Limited (“Elsa”), a Honk Kong corporation; for the purpose of setting forth the terms and conditions upon which Maxray will acquire from Elsa 100% of all the assets and equity of Elsa.
