ES Capital Management LLC ("ESCM") and CMBS Credit Opportunities Manager, LLC ("CCOM") are affiliated persons of Talimco, LLC, a registered investment advisor and sub-advisor to the Issuer ("Talimco"). ESCM, CCOM and Talimco are owned and controlled, directly or indirectly, by Edward L. Shugrue III. The beneficiaries of Shugrue Family 2012 Trust include the family of Mr. Shugrue. The 996,947 Shares of Beneficial Interest reported herein represent the aggregate holdings of ESCM, CCOM and Talimco which report direct beneficial ownership of 806,139, 134,873 and 55,935 shares, respectively.
