  • [F1]The reported shares are directly owned by Adam K. Peterson ("Mr. Peterson"), Mr. Peterson's Minor Children, Magnolia Capital Fund ("MCF"), and Magnolia BOC I, LP ("BOC I"). The Magnolia Group, LLC ("TMG") is the general partner and investment manager of MCF and BOC I. Mr. Peterson is the managing member of TMG. TMG and Mr. Peterson could both be deemed to share indirect beneficial ownership of the shares reported herein for those reporting persons.
  • [F2]TMG and Mr. Peterson disclaim beneficial ownership with respect to the shares held by MCF and BOC I except to the extent of their respective pecuniary interests therein, and this report shall not be deemed an admission of beneficial ownership of these securities for Section 16 or for any other purposes.
  • [F3]Mr. Peterson is a 10% Owner of the Issuer and serves as a Director and the Chief Executive Officer of the Issuer.
  • [F4]In exercising the Class B warrants, MCF purchased 1,262 shares for $10,096 at a price of $8.00 and 51,516 shares for $515,160 at a price of $10.00. After this transaction, MCF no longer holds any BOC warrants.
  • [F5]MCF may be the beneficial owner of 580,558 shares of Class B Common Stock. BOC I may be deemed the beneficial owner of 5,589,253 shares of Common Stock that it holds. TMG may be deemed the beneficial owner of 6,169,811 shares of Common Stock, which includes the shares held by MCF and BOC I. Adam Peterson may be deemed the beneficial owner of 6,756,842 shares of Common Stock, including the 587,031 shares of Common Stock that holds directly or indirectly through Mr. Peterson's minor children's accounts, and the shares held by MCF and BOC I. In prior Form 4 filings, the warrants were counted as if they were exercised, therefore share counts are not changed by these transactions.
