Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(c) On February 26, 2013, Gerald Lee Cooksey, Jr. (age 47) was appointed Chief Financial Officer and Corporate Secretary of both the Company and the Bank. Since December 11, 2012 Mr. Cooksey has served as Interim Chief Financial Officer and Acting Corporate Secretary of both the Company and the Bank. Mr. Cooksey also serves as Chief Operations Officer of the Bank.

There are no family relationships between Mr. Cooksey and any director or executive officer of either the Company or the Bank. There is no transaction, since the beginning of the Company’s last fiscal year, or any currently proposed transaction, in which the Company or the Bank was or is to be a participant and the amount involved exceeds $120,000, and in which Mr. Cooksey had or will have a direct or indirect material interest.
