- [F1]Each Phantom Unit is the economic equivalent of one common unit representing a limited partner interest in Rhino Resource Partners LP (the "Partnership") and is accompanied by a Distribution Equivalent Right entitling the holder to an amount of cash equal to the value of any cash distributions paid on each of the Partnership's common units during the period in which the Phantom Unit is held.
- [F2]One-third of the Phantom Units vests annually, beginning with the one-year anniversary of the date of grant. The annual vesting of the Phantom Units is subject to earlier vesting upon a change of control or a termination of the reporting person' s employment due to death or disability. In addition, upon a termination of the reporting person's employment without cause or for good reason, any Phantom Units scheduled to vest in the 12 month period following such termination will become immediately vested as of such termination date.
