- [F1]The disposition of securities reported on this Form 4 was made by tender to the Issuer pursuant to the Issuer's tender offer dated March 25, 2011. The purchase price for each Unit of Beneficial Interest in the Issuer was determined as of June 30, 2011 (the "Valuation Date"), based on the net asset value of such securities as of such date. Because the Issuer is an investment company that invests in other investment funds, the determination of a final purchase price is dependent upon the receipt of reporting from each of the Issuer's underlying investee funds. As a result, the Reporting Persons were informed of neither the final purchase price nor the amount of tendered securities actually accepted by the Issuer for purchase until several weeks following the Valuation Date.
- [F2]Each of the Reporting Persons expressly disclaims beneficial ownership of the Units of Beneficial Interest reported hereby, except to the extent of their respective pecuniary interest therein.
