The purchase price for each Unit of Beneficial Interest in the Issuer was determined as of June 30, 2011 (the "Valuation Date"), based on the net asset value of such securities as of such date. Because the Issuer is an investment company that invests in other investment funds, the determination of a final purchase price is dependent upon the receipt of reporting from each of the Issuer's underlying investee funds. As a result, the Reporting Person was informed of neither the final purchase price nor the amount of tendered securities actually accepted by the Issuer for purchase until several weeks following the Valuation Date.
