- [F1]On September 8, 2016, First Mid-Illinois Bancshares, Inc. ("FMBH") completed the previously announced merger of First Clover Leaf Financial Corp. ("FCLF") with and into FMBH, pursuant to the Agreement and Plan of Merger, dated April 26, 2016, as amended, by and between FMBH and FCLF (the "Merger Agreement"). In accordance with the terms of the Merger Agreement, at the effective time of the merger, the shares of FCLF common stock were converted into the right to receive, at the election of each shareholder and subject to the proration and allocation procedures set forth in the Merger Agreement, either (i) $12.87 in cash or (ii) 0.495 shares of FMBH common stock (the "stock consideration"), with cash paid in lieu of fractional shares. Based on the closing stock price of FMBH common stock on the NASDAQ Global Market on September 8, 2016, the closing date of the merger, of $25.35, the value of the stock consideration was $12.55.
