- [F1]This Form 4 reflects the transfer of beneficial ownership of common shares of NorthStar Real Estate Capital Income Master Fund from NRF Holdco, LLC ("Holdco") to NSAM FV Holdings, LLC ("NSAM FV"). Both Holdco and NSAM FV are wholly-owned subsidiaries of Colony Capital Operating Company, LLC ("CCOC"), which is a majority-owned subsidiary of Colony NorthStar, Inc. The transfer represented a distribution from Holdco to CCOC and a capital contribution by CCOC to NSAM FV. No consideration was paid to or received by Holdco in connection with the transfer.
