Ergen established the Ergen Two-Year November 2018 DISH GRAT (the "Two-Year November 2018 DISH GRAT") and contributed 50,000,000 Class B shares to the Two-Year November 2018 DISH GRAT. The Two-Year November 2018 DISH GRAT may elect to convert any or all of its Class B shares into an equal number of Class A shares at any time for no additional consideration. Mrs. Cantey M. Ergen serves as the trustee of such GRAT.
- [F2]Pursuant to the terms of the Two-Year November 2018 DISH GRAT, 26,580,662 Class B shares were distributed as an annuity to Mr. Ergen on November 30, 2020, with the remaining 381,973 Class B shares distributed to a trust for the benefit of Mr. Ergen's family members. Following these distributions, the Two-Year November 2018 DISH GRAT expired pursuant to its terms.
