(the "Company"), Thomas Bontem, Sun Xin (the "Reporting Person"), China Health Industries Holdings Limited ("China Health") and Harbin Humankind Biology Technology Co. Limited on October 15, 2007 and closed on December 31, 2008, the Reporting Person received 60,000,000 shares of common stock of the Company in exchange for all of the issued and outstanding shares of the stock of China Health, with China Health becoming a wholly owned subsidiary of the Company. As a result of the closing of the agreement, as of December 31, 2008, the Reporting Person owns an aggregate of 61,203,088 shares of the Company's common stock.
