On December 1, 2023, the Reporting Person's compensation fee increased in connection with his appointment as chair of the Nominating and Corporate Governance Committee. The number of RSUs granted to the Reporting Person on January 2, 2023 represents the quotient of (i) the increase in the Reporting Person's compensation fee for FY24 divided by (ii) the closing price of Zuora's Class A Common Stock on the date of grant. The RSUs are fully vested upon grant in accordance with the Compensation Program.
