Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 8, 2008, Steven A. Sanders resigned as Secretary and Director of the Company. Also on this date, Richard Brown resigned his positions as Chief Financial Officer and Director. Neither Mr. Sanders nor Mr. Brown resigned from the Board of Directors due to a disagreement with the Company.
