Item 8.01 Other Events

On August 21, 2012, Soy Energy, LLC was served with a lawsuit by Wolin & Associates, Inc. ("Wolin") to foreclose two mechanics liens Wolin filed on the biodiesel plant. Wolin is demanding payment of approximately $900,000 which it claims is owed pursuant to the mechanics liens. Management is working to answer the lawsuit filed by Wolin.
